Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Clarity Labs ("we," "us," or "our"), including AI-powered websites, AI assistants, and related products offered through claritylabs.one. By using our services, you agree to these Terms.

1. Service Description

Clarity Labs provides AI-powered website design, development, and AI virtual assistant services for small businesses. Our services include:

• Custom AI-powered websites with integrated chat assistants.
• AI virtual assistants that answer customer inquiries, capture leads, and book appointments.
• Website hosting, maintenance, and ongoing AI optimization.
• Lead capture, notification, and reporting tools.

AI-generated responses are based on information you provide and may not always be perfectly accurate. You are responsible for reviewing and ensuring the accuracy of information your AI assistant communicates to your customers.

2. Account & Eligibility

• You must be at least 18 years old and authorized to act on behalf of your business to use our services.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to provide accurate and complete information during onboarding and to keep it updated.
• You are responsible for all activity that occurs under your account.

3. User Obligations

When using our services, you agree to:

• Provide accurate business information for your AI assistant's knowledge base.
• Not use our services for any unlawful, fraudulent, or harmful purpose.
• Not attempt to reverse-engineer, copy, or redistribute our AI systems, code, or proprietary technology.
• Not use the AI assistant to generate misleading, deceptive, or harmful content.
• Comply with all applicable laws, including consumer protection and data privacy regulations.
• Inform your customers that they may be interacting with an AI assistant.

4. Payment Terms

4.1 Pricing

Service pricing is as quoted in your proposal or as listed on our website. All prices are in US Dollars unless otherwise stated.

4.2 Billing

• One-time setup fees are due before work begins or upon project milestone completion, as specified in your agreement.
• Monthly subscription fees are billed at the beginning of each billing cycle.
• All fees are non-refundable unless otherwise specified in your service agreement.

4.3 Late Payments

If payment is not received within 7 days of the due date, we reserve the right to suspend your services until the balance is settled. Accounts with balances overdue by more than 30 days may be terminated.

5. Intellectual Property

5.1 Our IP

All AI models, algorithms, software, code, templates, designs, and proprietary technology developed by Clarity Labs remain our exclusive intellectual property. You receive a non-exclusive, non-transferable license to use these as part of your active subscription.

5.2 Your Content

You retain ownership of all business content, branding materials, and data you provide to us. By providing content, you grant us a license to use it solely for the purpose of delivering our services to you.

5.3 Deliverables

Custom website designs and content created specifically for your business are yours upon full payment. However, underlying AI systems, widget code, and platform infrastructure remain our property.

6. Service Availability & Support

• We strive to maintain 99.5% uptime for hosted websites and AI assistants, but do not guarantee uninterrupted service.
• Scheduled maintenance will be communicated in advance when possible.
• Support is provided via email at hello@claritylabs.one during business hours (Monday through Friday, 9 AM to 6 PM CT).

7. Limitation of Liability

AI-generated responses may contain inaccuracies. Clarity Labs is not liable for any actions taken by your customers based on information provided by your AI assistant. You are responsible for ensuring your AI assistant's knowledge base is accurate and up to date.

8. Indemnification

You agree to indemnify and hold harmless Clarity Labs, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services.
• Your violation of these Terms.
• Your violation of any applicable law or third-party rights.
• Content you provide for your AI assistant or website.

9. Termination

9.1 By You

You may cancel your subscription at any time by providing written notice to hello@claritylabs.one. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for partial billing periods.

9.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms.
• Fail to pay fees when due.
• Use our services in a manner that is harmful, abusive, or illegal.

9.3 Effect of Termination

Upon termination, your website and AI assistant will be deactivated. We will retain your data for up to 90 days, during which you may request a data export. After 90 days, your data will be permanently deleted.

10. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Travis County, Texas.

12. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and any service agreement, constitute the entire agreement between you and Clarity Labs.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without our written consent.
